Terms and Conditions

01Definitions

In these Terms:

• Operator — TD Mircea, the natural/legal person who develops, distributes, and administers the SEO Master PRO MAX application (full legal name, registered address, VAT ID, and Trade Register to be published in the final page version).
• Application — the "SEO Master PRO MAX" desktop software installed by the User on their own computer, as an executable for Windows, macOS, or Linux.
• Website — the public presentation pages available at seo-master.ro (including subdomains: admin.seo-master.ro, api.seo-master.ro).
• Administration panel — the web interface at admin.seo-master.ro where the User manages licenses, invoices, and subscription plans.
• User — any natural person (minimum age 18) or legal entity using the Application, Website, or administration panel.
• User Content — all data entered, generated, or collected by the User in the Application: audited sites, audits, reports, settings, API keys, prompts, local databases.
• Plan — the subscription level selected: Free, Pro, or Studio.
• License key — the unique alphanumeric code issued by the Operator that activates the Pro/Studio modules in the Application.
• GDPR — Regulation (EU) 2016/679 on the protection of personal data.

02Acceptance of terms

Use of the Application, Website, or administration panel constitutes unconditional acceptance of these Terms, the Privacy Policy, the Cookie Policy, and the GDPR page.

To use the Service, the User must:

• have full legal capacity (minimum age 18 or, if representing an entity, hold valid authority),
• expressly accept these Terms at first run of the Application and at account creation in the administration panel,
• use the Service exclusively for lawful purposes.

If you do not agree with these Terms, please do not install the Application and do not use the Website or administration panel.

03Admin account and licenses

3.1 Account creation

For purchasing a Pro or Studio plan, the User creates an account in the administration panel using a valid email and a password of their choice. The email is used for technical communications (invoices, license notifications, update announcements).

3.2 Account security

The User is solely responsible for keeping the password safe and for all activities performed through the account. Notify the Operator immediately at contact@seo-master.ro if you suspect unauthorized access.

3.3 License keys — PC seats

Each Pro license key activates the application on a single computer (1 seat). The Studio plan allows activation on a maximum of 5 simultaneous seats (extendable on request). Moving to another computer is done via deactivation in the administration panel.

3.4 Usage rules

• Creating multiple accounts to bypass plan limits is prohibited.
• Reselling license keys to third parties without written agreement from the Operator is prohibited.
• Using the Application to scan third-party sites without legal authorization is prohibited.

04Desktop app and services

4.1 Local nature of the application

The Application runs 100% locally on the User's computer. Data entered, audits, reports, settings are stored in a SQLite database in the Program Files folder (Windows) or equivalent (macOS/Linux). The Operator has no technical access to this data and does not replicate it on any server.

4.2 Availability

The Application functions independently of a connection to the Operator's servers. An internet connection is required only for:

• initial license activation,
• periodic license validity verification (at startup),
• optional calls to public APIs (Google Search Console, Bing Webmaster, PageSpeed Insights, AI providers configured by the User).

The Operator makes reasonable efforts to keep the Website and administration panel available 99% of the time, without guaranteeing uninterrupted operation.

4.3 Application changes

The Operator reserves the right to add, modify, or remove functionality through Application updates. Changes affecting features covered by paid plans will be announced via email at least 30 days in advance.

4.4 Free plan limits

The Free plan includes full audit, visual Schema Generator, Speed monitoring, and access to core modules. Advanced modules (AI Search Optimizer, multi-PC, brand-able PDF) are available only on Pro/Studio.

4.5 Public APIs and user keys

The Application allows connection to external APIs (Google Search Console, Bing Webmaster, PageSpeed Insights, OpenAI, Anthropic, Google Gemini, etc.) using the User's API keys. The Operator does not intermediate these calls and does not see their content. Costs incurred at the API providers are billed directly to the User by those providers.

05Subscriptions and payments

5.1 Pricing

Prices are displayed in Romanian lei (RON) with VAT included on the Pricing page. The Operator may change prices with at least 30 days' email notice.

5.2 Invoicing

Invoicing is monthly or yearly, depending on the chosen plan. The electronic invoice is automatically sent to the account email within 24 hours of payment.

5.3 Cancellation

The User can cancel the subscription at any time from the administration panel. Cancellation takes effect at the end of the current billing period. No partial refunds are granted for the unused period.

5.4 Non-payment

In case of non-payment after email notification, the account is downgraded to the Free plan. Data entered in the Application remains on the User's computer regardless of account status.

06Data and privacy

6.1 Ownership

Content entered by the User in the Application belongs entirely to the User. The Operator claims no ownership rights over this content.

6.2 Local storage

All Application data (audits, reports, settings, API keys, prompts, databases) is stored exclusively locally on the User's computer. The Operator has no technical access and does not replicate this data.

6.3 Data collected via the Website and admin panel

The Operator collects a minimal data set for the admin account to function: email, encrypted password, invoice history, issued license keys. See the Privacy Policy for full details.

6.4 Export and deletion

The User can export data at any time (from the Application: any report in PDF/Excel/Word/CSV; from the administration panel: PDF invoices). Admin account deletion requests are processed within a maximum of 30 days.

07Intellectual property

7.1 Operator's rights

The Application source code, Website design, official texts, SEO Master PRO MAX logo, brand, trademark, knowledge base — are the exclusive property of the Operator.

7.2 License granted to the User

Upon activation of a valid key, the Operator grants the User a non-exclusive, non-transferable, revocable license to use the Application according to the purchased plan.

7.3 Restrictions

It is forbidden to:

• decompile, reverse-engineer, or modify the Application code,
• copy, distribute, or resell the Application or license keys,
• use the "SEO Master PRO MAX" name or logo in other products without written agreement.

7.4 User Content

The User retains all rights to the content they enter. They grant the Operator no right of commercial use, distribution, or publication of this content.

08Limitations of liability

8.1 "As is"

The Application and Service are provided "as is". The Operator does not guarantee that the Application will function without errors, without interruptions, or that audit results will be 100% complete or accurate.

8.2 Liability limit

To the extent permitted by law, the total liability of the Operator to the User shall not exceed the amount paid by the User in the last 90 days preceding the event giving rise to liability.

8.3 Exclusions

The Operator is not liable for:

• data loss caused by improper use, accidental deletion, User hardware failures,
• SEO penalties applied by Google, Bing, or other search engines,
• costs incurred at external API providers (OpenAI, Anthropic, etc.),
• external factors (internet outages, third-party API changes, etc.).

8.4 Backup

The User is responsible for backing up their own local data. The Application will include an automatic backup module (see public roadmap), but until its release, manual backup is recommended.

09Service termination

9.1 Termination by the User

The User can close the admin account at any time from the administration panel settings. The installed desktop Application continues to function on the Free plan even after closing the account.

9.2 Termination by the Operator

The Operator reserves the right to suspend the admin account in case of:

• serious breach of these Terms,
• use of the Application for illegal activities,
• payment fraud.

9.3 Service discontinuation

If the Operator decides to discontinue the Service, Users will be notified at least 60 days in advance. The installed desktop Application continues to function offline, without the modules that require online license verification.

10Changes to terms

The Operator reserves the right to modify these Terms. Significant changes are communicated via email at least 30 days before they take effect. Continued use of the Service after the changes take effect constitutes acceptance of them.

Previous versions of the Terms are archived and available on request.

11Disputes and governing law

11.1 Applicable law

These Terms are governed by Romanian law. For aspects not covered by special law, the provisions of the Romanian Civil Code apply.

11.2 Amicable resolution

Any disputes arising from these Terms shall be resolved with priority through amicable means, by direct contact at contact@seo-master.ro.

11.3 Jurisdiction

If amicable resolution is not possible, disputes will be settled by the competent courts in Romania (the specific court will be specified in the final page version, depending on the Operator's legal headquarters).

11.4 ANPC

For consumer protection complaints, the User may contact the National Authority for Consumer Protection — www.anpc.ro.
